This guide is for companies in Korea, including foreign-owned ones, that use an SME confirmation certificate (중소기업 확인서) in government support applications or public bidding. The certificate is not valid for one year from its issue date. Its validity follows the period in which the company's SME status applies. For a company with a December year-end, that is April 1 to March 31 of the following year.
Validity follows the SME status period, not the issue date
Many companies plan to renew the certificate a year after receiving it, then find it expired on a support program's deadline day. Validity is not counted from the issue date.
The rule is in a notice of the Ministry of SMEs and Startups (중소벤처기업부), the Regulations on the Scope and Confirmation of SMEs (중소기업 범위 및 확인에 관한 규정). Article 6(2) says that the validity period of an SME confirmation certificate follows the period in which SME status applies under Article 3. Article 3(1) sets that period.
Holding a certificate does not automatically bring tax benefits. For one tax rule with its own SME condition, see Tax losses carry forward 15 years. See also Registering a corporate research institute.
How to calculate the validity period
| Type of company | Period in which SME status applies |
|---|---|
| Company whose previous business year lasted 12 months or more | 1 year from the day 3 months have passed since the last day of the previous business year |
| Company founded, merged or split in the previous business year | 1 year from the day 3 months have passed since the last day of the previous business year |
| Company founded, merged or split in the current business year | From the date of founding, merger or split until the day 3 months after the end of that business year |
For a company with a December year-end, the last day of the previous business year is December 31, and the day 3 months have passed is April 1. The validity period is therefore fixed at April 1 to March 31 of the following year. Whether you receive the certificate in July or in November, it expires on the same March 31.
The first year after founding is different. Under item 3, the period runs from the founding date until 3 months after the end of that business year. A December year-end company founded in May 2026 gets a first certificate that is valid until March 31, 2027. So the first period can be shorter than one year.
There are exceptions. Article 3(2) sets a separate starting point for cases such as a company in a related-company group (관계기업) that is founded, merges, splits or closes after the end of the previous business year, and a company that comes under, or stops coming under, the proviso to Article 2(1) of the Framework Act on Small and Medium Enterprises (중소기업기본법).
Seven documents for the application
Article 5(1) lists them:
- SME confirmation application form (Form No. 1 (별지 제1호 서식))
- 1 copy of the corporate register certificate (법인등기부등본, corporations only) and 1 business registration certificate (사업자등록증명)
- 1 copy of the monthly withholding tax status reports (원천징수이행상황신고서) for the previous business year
- 1 copy of the financial statements for the last 3 business years, or instead a VAT tax base certificate (부가가치세 과세표준증명) or a revenue certificate for VAT-exempt businesses (부가가치세 면세사업자 수입금액증명)
- 1 copy of the statement of changes in shareholdings (주식등변동상황명세서, corporations only)
- 1 copy of the statement of adjusted revenue (조정후수입금액명세서) for the last 3 business years (corporations only)
- If there are related companies, the relevant documents above for those companies
Where and how to submit
Under Article 5(2), the applicant company must fill in and submit the application form itself on the SME Status Information System (중소기업현황정보시스템), the government's online system for SME confirmation. Under Article 5(3), the other documents are, as a rule, sent through the online transmission system by the applicant or by a tax agent (세무대리인) it designates. If online submission is difficult, you can submit them in person or by post to a Regional Office of SMEs and Startups (지방중소벤처기업청).
Article 5(4) helps companies that cannot produce some documents yet. If the company was founded, merged or split in the previous or current business year, or cannot submit documents 3 to 7 for reasons such as being exempt from tax filing, it can fill in the related items on the application form and skip those documents.
Competitive bidding needs one more sheet. Under Article 5(5), if you obtain the certificate to take part in competitive bidding among SMEs under Article 7 of the Act on Facilitation of Purchase of Small and Medium Enterprise-Manufactured Products and Support for Development of Their Markets (중소기업제품 구매촉진 및 판로지원에 관한 법률), you must also submit a self-diagnosis form (자가진단서) that checks whether you are restricted from such bidding (Form No. 2 (별지 제2호 서식)).
When you need an amended or re-issued certificate
Under Article 6(3), a company that already holds a certificate must submit supporting documents and obtain an amended certificate in these four cases:
- The company name has changed.
- The representative of the corporation has changed (including a comprehensive transfer of a sole proprietor's business).
- The address has changed.
- You want to change the purpose of issuance to the purpose in Article 5(5).
The fourth case is easy to miss. You cannot use a certificate issued for general purposes in competitive bidding. Apply to change the issuance purpose and submit the self-diagnosis form with it. Separately, under Article 6(4), the Minister of SMEs and Startups re-issues the certificate when the company classification or the validity period has changed, for example because submitted documents were corrected.
Checklist for your annual calendar
- If you have a December year-end, assume the certificate expires on March 31 every year.
- Put re-issuance after April 1 in your calendar at the start of the year.
- Plan it with your closing schedule, because when you can get a certificate depends on when the financial statements are final.
- Collect all 12 months of the monthly withholding tax status reports for the previous business year.
- Keep the financial statements for the last 3 business years in one folder.
- Obtain the statement of changes in shareholdings and the statement of adjusted revenue when you file the corporate tax return.
- If you have related companies, include their documents in scope.
- Give your tax agent online transmission rights in advance.
- If the company name, representative or address changes, apply for an amended certificate right away.
- If you plan to take part in competitive bidding, set the issuance purpose in advance.
- Check for each announcement whether a self-diagnosis form is required.
- In the first year after founding, validity can be shorter, so calculate it separately.
- Put the application deadline and the certificate's expiry date side by side.
- Include the certificate PDF in your standard document set for government support applications.
- Amended and re-issued certificates are posted on the SME Status Information System, so download the latest version there.
